Dangote Petroleum Refinery has taken a major step towards becoming a publicly listed company after submitting an Initial Public Offering (IPO) application to the Nigeria’s Securities and Exchange Commission (SEC), paving the way for what could become Africa’s largest stock market debut.

The filing marks the beginning of the regulatory review process and brings the 650,000-barrel-per-day refinery closer to a listing on the Nigerian Exchange (NGX), although regulators have stressed that no approval has yet been granted for the offer or listing.

Speaking on the development on Tuesday, SEC Director-General, Emomotimi Agama confirmed that the refinery’s advisers are currently engaging with the commission, with the company targeting a possible listing in September 2026, subject to regulatory approval.

The application comes weeks after the SEC cautioned investors against unofficial campaigns soliciting advance subscriptions for the proposed IPO.

At the time, the commission disclosed that it had not received any formal application and directed promoters of such campaigns to cease marketing the offer.

Dangote Refinery also distanced itself from the unauthorised fundraising activities.

With the formal filing now submitted, the SEC will commence a comprehensive review of the company’s prospectus, financial statements, ownership structure, governance framework, valuation, risk disclosures and proposed offer terms before deciding whether to approve the public offering.

The planned IPO follows the refinery’s successful $2.5 billion private placement completed in July 2026 to finance expansion and operational growth.

According to the company, investor demand exceeded expectations, with subscriptions reaching 3.7 times the amount offered.

The fundraising attracted major institutional investors, including the Africa Finance Corporation (AFC) and an investment vehicle backed by African Export-Import Bank, in what has been described as Africa’s largest publicly disclosed private equity placement.

The transaction reportedly valued the refinery at approximately $40 billion.

Dangote Refinery plans to expand its refining capacity from 650,000 barrels per day to 1.4 million barrels daily by 2028, with proceeds from both the private placement and the planned IPO expected to support the ambitious expansion programme.

Since commencing operations in 2024, the refinery has become a major supplier of refined petroleum products to Nigeria while also exporting to regional and international markets.

Market analysts believe the listing could significantly reshape Nigeria’s capital market by introducing one of the country’s largest and most strategically important companies to public investors.

It is also expected to provide pension funds, retail investors and institutional investors across Africa with an opportunity to own shares in one of the continent’s most valuable industrial assets.

However, experts note that investors will need to carefully assess factors such as refining margins, crude oil supply, expansion costs, exchange rate movements and government fuel pricing policies before participating in the offer.

While the company is targeting a September 2026 listing, the timeline remains dependent on the SEC’s review process and prevailing market conditions.

The regulator has advised the public that details regarding the share price, offer size, subscription period and allocation process will only become official after the prospectus receives regulatory approval.
