Dangote Petroleum Refinery and Petrochemicals has successfully completed a landmark US$2.5 billion private equity placement, a transaction believed to be Africa’s largest publicly disclosed primary equity private placement by value, marking a major milestone in the company’s long-term growth strategy and the development of African capital markets.

The company announced on Thursday that the private placement attracted overwhelming investor demand, with subscriptions reaching 3.7 times the initial offer size, resulting in the issuance and allotment of approximately US$2.5 billion in new equity.

The transaction represents the refinery’s first equity capital raise involving external investors beyond its legacy shareholder base, underscoring growing confidence in the company’s long-term strategy and Africa’s investment landscape.

According to the company, proceeds from the equity placement will support the continued expansion of the refinery and petrochemical complex, strengthen its capital structure and provide greater financial flexibility to execute future growth initiatives.

The offering attracted broad participation from international and African institutional investors, sovereign-related investment vehicles, development finance institutions and long-standing strategic partners.

Among the key participants were the Africa Finance Corporation (AFC) and India Infra Buildco, an investment vehicle facilitated by the African Export-Import Bank (Afreximbank), alongside a wide mix of institutional and individual investors.

President and Chief Executive of Dangote Industries Limited and Chairman of Dangote Petroleum Refinery and Petrochemicals, Aliko Dangote, described the successful transaction as a strategic milestone for the enterprise.

He said the capital raise would deepen and further institutionalise the refinery’s shareholder base while complementing internal cash flows and external funding required to drive its expansion agenda.

Dangote noted that the successful placement demonstrates the company’s commitment to developing domestic refining and petrochemical capacity, reducing Africa’s dependence on imported refined petroleum products and strengthening the continent’s energy security.

Managing Director and Chief Executive Officer of Dangote Petroleum Refinery and Petrochemicals, David Bird, attributed the overwhelming investor response to the company’s operational excellence, execution capability and leadership.

“The exceptional demand we saw is a testament to our operational excellence, execution capacity and investor confidence in the refinery’s leadership,” Bird said.

Following the successful capital raise, the company said it is well positioned to accelerate its long-term growth strategy while reinforcing Africa’s energy security through world-class refining and petrochemical capacity.

The refinery also acknowledged the contributions of its professional advisers and stakeholders whose support helped deliver the landmark transaction.
